Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Simit website, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

This document is provided for general information and does not constitute legal advice. Consider having counsel review before production use.

1. Eligibility and Accounts

• You may use the Services only if you can form a binding contract and are not barred from doing so under applicable law.
• If you create an account, you are responsible for safeguarding your credentials and all activities under your account.

2. Trials and Paid Services

• Trials are for evaluation only and subject to the separate Trial Agreement available at /legal/trial-agreement.
• Paid Services, if offered, may be governed by additional order forms or subscription terms. In case of conflict, those terms control for the applicable purchase.

3. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal purposes, subject to these Terms. You will not:

• Reverse engineer, decompile, or attempt to derive source code or underlying ideas, except to the extent permitted by law.
• Use the Services for unlawful, infringing, or harmful activities; introduce malware or attempt to bypass security.
• Copy, modify, host, or distribute the Services or content except as expressly permitted.
• Misrepresent your identity or affiliation, or interfere with others’ use of the Services.

4. Third-Party Services

The Services may interoperate with third-party products or services. Your use of third-party offerings is governed solely by those providers’ terms and privacy policies.

5. Intellectual Property; Feedback

Simit and its licensors own all rights, title, and interest in and to the Services. We welcome feedback and suggestions; by submitting feedback, you grant Simit a non-exclusive, perpetual, irrevocable, royalty-free license to use it without restriction.

6. Confidentiality

We treat non-public information you disclose to us as confidential and will use and protect it as described in our Privacy Policy and, where applicable, the Trial Agreement. If a separate NDA is in place, that NDA will govern.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIMIT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. SIMIT’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SIMIT FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR USD $100 IF NO SUCH PAYMENTS WERE MADE).

9. Indemnification

You will defend, indemnify, and hold harmless Simit and its affiliates from and against any claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

10. Suspension and Termination

We may suspend or terminate your access if we believe you have violated these Terms or to protect the Services or other users. Upon termination, your right to use the Services will cease.

11. Export and Sanctions

You must comply with applicable export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any embargoed country or on any restricted party list.

12. Governing Law and Venue

These Terms are governed by the laws of your primary operating jurisdiction without regard to conflict of laws principles. The exclusive venue for disputes will be the courts located where Simit maintains its principal place of business, unless otherwise required by law.

13. Changes to the Services and Terms

We may modify the Services and these Terms from time to time. If we make material changes, we will post an updated version with a new date. Your continued use after changes become effective constitutes acceptance.
